Please read these Terms of Use carefully before accessing or using any part of the Surugau platform available at surugau.com. By accessing or using the platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the platform.

1. Definitions

Throughout these Terms, the following definitions apply:

• Platform refers to the Surugau website, web application, and all associated services accessible at surugau.com.
• Company, we, us, or our refers to Surugau, the operator of the Platform.
• User, you, or your refers to any individual or entity accessing or using the Platform.
• Content refers to any text, images, video, audio, documents, exercises, assignments, or other materials made available through the Platform.
• User Content refers to any material submitted, uploaded, or otherwise contributed by a User to the Platform.
• Account refers to the registered profile created by a User to access certain features of the Platform.

2. Acceptance of Terms

Your access to and use of the Platform constitutes your acceptance of these Terms of Use in full. These Terms apply to all visitors, registered users, workshop participants, and any other persons who interact with the Platform in any capacity.

We reserve the right to update or modify these Terms at any time. Changes will be effective upon posting to the Platform with an updated date. Continued use of the Platform following any such changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

3. Eligibility

To use the Platform, you must be at least 16 years of age. By using the Platform, you represent and warrant that you meet this age requirement. If you are under the age of majority in your jurisdiction, you must have obtained verifiable consent from a parent or legal guardian prior to using the Platform.

The Platform is intended for individuals seeking to develop practical skills in content creation for media through structured workshops, interactive exercises, and collaborative tools. Use of the Platform for any other purpose is subject to the restrictions outlined in these Terms.

4. Account Registration

4.1 Creating an Account

Certain features of the Platform require you to register for an Account. When registering, you agree to provide accurate, current, and complete information. You are responsible for maintaining the accuracy of your Account information and for updating it as necessary.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You agree to notify us immediately at contact@surugau.com if you suspect any unauthorised access to or use of your Account. We will not be liable for any loss or damage arising from unauthorised use of your Account where you have failed to take reasonable precautions.

4.3 Account Termination by User

You may close your Account at any time by contacting us using the details provided at the end of these Terms. Closure of your Account does not automatically delete User Content you have submitted unless you expressly request deletion and such deletion is technically feasible.

5. Permitted Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal, non-commercial educational purposes.

You agree to use the Platform only in ways that are lawful, respectful, and consistent with its intended educational purpose. Specifically, you agree that you will:

• Comply with all applicable laws and regulations when using the Platform.
• Respect the rights and dignity of other users, instructors, and staff.
• Use the collaborative tools and interactive features constructively and in good faith.
• Maintain the integrity of assignments and exercises by completing them honestly.

6. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Using the Platform for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempting to gain unauthorised access to any part of the Platform, its servers, or any systems connected to the Platform.
• Uploading, transmitting, or distributing any malicious code, viruses, or harmful software.
• Scraping, crawling, or extracting data from the Platform by automated means without prior written consent.
• Reproducing, distributing, selling, or otherwise exploiting any Platform Content for commercial purposes without authorisation.
• Impersonating any person or entity, or misrepresenting your affiliation with any person or entity.
• Harassing, threatening, or intimidating other users or staff.
• Submitting false, misleading, or fraudulent information.
• Interfering with or disrupting the integrity or performance of the Platform or its related systems.
• Circumventing any access controls, digital rights management measures, or security features of the Platform.
• Using another user's Account without their explicit permission.

7. User Content

7.1 Ownership

You retain ownership of any original content you create and submit to the Platform. By submitting User Content, you represent and warrant that you have all necessary rights to do so and that your User Content does not infringe the rights of any third party.

7.2 Licence Grant

By submitting User Content to the Platform, you grant us a worldwide, royalty-free, non-exclusive licence to use, store, display, reproduce, and distribute that content solely for the purposes of operating and improving the Platform and delivering the services you have requested. This licence ends when you delete your User Content or close your Account, subject to any technical or legal retention obligations.

7.3 Content Standards

User Content must not:

• Contain material that is defamatory, obscene, offensive, or discriminatory.
• Infringe any intellectual property rights, privacy rights, or other legal rights of third parties.
• Include personal data of third parties without their consent.
• Promote illegal activity or constitute spam or unsolicited communications.

We reserve the right to remove any User Content that violates these standards or these Terms, without prior notice.

8. Intellectual Property

8.1 Platform Content

All Content on the Platform that is not User Content, including but not limited to workshop materials, course structures, exercises, instructional text, graphics, software, and design elements, is owned by or licensed to the Company and is protected by applicable intellectual property laws.

8.2 Restrictions

You may not copy, reproduce, modify, distribute, publicly display, transmit, or create derivative works from any Platform Content without our prior written permission, except as expressly permitted by these Terms or applicable law.

8.3 Feedback

If you provide suggestions, feedback, or ideas regarding the Platform, you grant us an unrestricted, perpetual, royalty-free licence to use such feedback for any purpose, without any obligation of compensation or attribution to you.

9. Payments and Subscriptions

9.1 Paid Features

Certain workshops, courses, or features on the Platform may require payment. All fees are stated at the point of purchase. By completing a purchase, you agree to pay the applicable fees in full.

9.2 Refunds

Refund eligibility is determined on a case-by-case basis in accordance with our refund policy, which is available upon request. We reserve the right to decline refund requests where access to digital content has already been granted and consumed.

9.3 Price Changes

We reserve the right to modify pricing at any time. Changes to pricing will not affect purchases already completed prior to the change taking effect.

10. Third-Party Services and Links

The Platform may contain links to third-party websites, tools, or services. These links are provided for convenience only and do not constitute our endorsement of those third parties or their content. We have no control over, and accept no responsibility for, the content, privacy practices, or terms of any third-party services. We aim to maintain the Platform's availability but do not guarantee uninterrupted or error-free access. We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice, for purposes including maintenance, upgrades, or operational decisions. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform or any part thereof.

12. Disclaimer of Warranties

The Platform and all Content are provided on an as is and as available basis, without warranties of any kind, whether express or implied. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Platform will meet your specific requirements, that it will be uninterrupted, timely, secure, or free from errors, or that any results obtained from using the Platform will be accurate or reliable.

13. Limitation of Liability

To the maximum extent permitted by applicable law, the Company, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising out of or in connection with your use of or inability to use the Platform, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or your use of the Platform shall not exceed the amount paid by you to us in the twelve months preceding the event giving rise to the claim, or the equivalent of fifty euros (€50), whichever is greater.

14. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its directors, employees, agents, licensors, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of or access to the Platform.
• Any User Content you submit to the Platform.
• Your violation of these Terms.
• Your violation of any third-party rights, including intellectual property or privacy rights.

15. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you acknowledge that you have read and understood our Privacy Policy and consent to the collection and use of your information as described therein.

16. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, if we reasonably believe you have violated these Terms or engaged in conduct that is harmful to other users, third parties, or the Company. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will continue to apply.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with generally accepted principles of law applicable to online services and digital platforms. In the event of any dispute arising from or in connection with these Terms or your use of the Platform, the parties agree to first attempt to resolve the dispute informally by contacting us at contact@surugau.com. If the dispute cannot be resolved informally within thirty days, either party may pursue resolution through the appropriate legal channels available in the relevant jurisdiction.

18. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed from these Terms if modification is not possible. The remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements expressly incorporated herein, constitute the entire agreement between you and the Company with respect to your use of the Platform and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, relating to the same subject matter.

20. Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision. Any waiver of a right or provision will only be effective if made in writing and signed by an authorised representative of the Company.
